Terms of Service

Please read these Terms of Service carefully before using Otwa Cloud services. These Terms constitute a legally binding agreement between you and Otwa Cloud Inc.

1. Acceptance of Terms

By accessing or using Otwa Cloud Inc. ("Otwa Cloud", "we", "us") services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.

2. Service Description

Otwa Cloud provides virtual private server (VPS) hosting, cloud computing, and related infrastructure services. Services are provided on a month-to-month basis unless otherwise specified. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete registration information. You must be at least 18 years old to use our services. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use our services to: send unsolicited bulk email (spam); host or distribute malware, viruses, or other malicious code; conduct DDoS attacks or network intrusions; engage in cryptocurrency mining without prior written consent; store or distribute illegal content including copyright-infringing material, CSAM, or content that violates applicable law. Violation of our Acceptable Use Policy may result in immediate account termination without refund.

5. Payment & Billing

Services are billed monthly in advance. You agree to pay all charges associated with your account. We accept Visa, Mastercard, American Express, PayPal, and cryptocurrency. Account balances are non-refundable except as required by law or as stated in our refund policy. We may suspend services for non-payment after 3 days of a missed payment.

6. Refund Policy

New customers may request a full refund within 3 days of their first purchase. After 3 days, all payments are final. Refunds for service credits are processed within 5–10 business days. We do not provide refunds for accounts terminated due to Terms violations.

7. Service Level Agreement (SLA)

We target 99.9% monthly uptime for our services, excluding scheduled maintenance windows. In the event of downtime below our SLA threshold, you may be eligible for service credits. Credits are the sole remedy for downtime and do not apply to events outside our control (force majeure).

8. Data & Privacy

We process your personal data in accordance with our Privacy Policy. We do not sell your personal data to third parties. Your data is stored on servers located in the United States. You retain ownership of all data you store on our infrastructure.

9. Intellectual Property

All content, trademarks, and software provided by Otwa Cloud remain our exclusive property. You are granted a limited, non-exclusive license to use our services as described in these Terms. You may not copy, modify, distribute, or create derivative works based on our platform without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Otwa Cloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claim shall not exceed the amount paid by you in the 3 months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts of New Castle County, Delaware.
